Terms of Service

1. Acceptance of Terms

By accessing or using the Rooutiq platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Rooutiq provides AI-powered fleet maintenance intelligence software, including predictive maintenance analytics, telematics integrations, vehicle health monitoring, and related tools accessible via our web platform at rooutiq.com.

3. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account at support@rooutiq.com.
• You must be at least 18 years old to use the Service.

4. Subscription & Billing

The Service is offered on a subscription basis, billed per active vehicle per month.

• Free Trial: We may offer a limited-time free trial. At the end of the trial, a paid subscription is required to continue using the Service.
• Payment: Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial months.
• Price Changes: We may change subscription pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use the Service to transmit malware, viruses, or any other malicious code.
• Scrape, crawl, or use automated means to access or collect data from the Service without our express written permission.
• Resell, sublicense, or otherwise make the Service available to third parties without our written consent.
• Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users.

6. Your Data & Intellectual Property

You retain all ownership rights to the fleet data, vehicle data, and other content you upload or submit to the Service ("Your Data"). By using the Service, you grant Rooutiq a limited license to process Your Data solely to provide the Service to you.

Rooutiq may use anonymized, aggregated, de-identified data derived from Your Data to improve our machine learning models and platform features. This will never include data that can be traced back to you or your organization.

7. Rooutiq Intellectual Property

The Service, including all software, algorithms, AI models, interfaces, designs, and documentation, is owned by Routiq LLC and protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.

8. Third-Party Integrations

The Service integrates with third-party telematics providers (e.g., Geotab, Samsara) and other services. Your use of those integrations is also subject to those providers' terms of service. Rooutiq is not responsible for the availability, accuracy, or conduct of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Rooutiq does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Maintenance predictions and AI recommendations are provided for informational purposes and should not be the sole basis for vehicle maintenance decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOUTIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL ROOUTIQ'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO ROOUTIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rooutiq and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request an export of Your Data within 30 days of termination.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance.
